StemTech Completes Reverse Merger and Becomes the Public Operating Company |
SEC filing | 8/20/2021 Globe Net Wireless Corp. reported that on August 19, 2021 it closed a merger agreement with privately held Stemtech Corporation. The public company acquired all of the Stemtech shares by issuing 37,060,000 post-split shares, about 85 percent of the shares outstanding after the split. For accounting purposes the deal was treated as a recapitalization with Stemtech as the acquirer, and the principal business became the Stemtech nutraceutical operation. The filing describes Stemtech as a direct-selling company focused on plant-based formulas tied to adult stem cell release, circulation, and migration. The current corporate entity was founded in 2018 and took over operations from a predecessor that dates to 2005. Charles Arnold is chief executive. The principal office listed is in Miramar, Florida. The company said it had 80 full-time employees worldwide and additional consultants. The shares trade over the counter under the symbol GNTWD. The filing said Stemtech would redomicile from Delaware to Nevada and merge into the public shell. Markets listed for the network-marketing business included the United States, Canada, Mexico, and several countries in Latin America, Asia, and Africa. |
