USANA Receives Seal of Approval for Joint Health Supplement

Press Release | 6/17/2016

SALT LAKE CITY, June 2, 2016 -- Creating products aimed to improve the health and wellness of the world is the mantra of USANA Health Sciences — and having those products contain pure ingredients with accurate labels is equally important. Which is why USANA considers a seal of approval from third-party tester ConsumerLab.com to be so important. The latest USANA supplement to be approved by ConsumerLab.com is Procosa, formulated to help maintain healthy cartilage and joints.*

"Receiving this third-party seal of approval from ConsumerLab.com shows our customers that we truly care about the quality of our products," says Dan Macuga, USANA's chief communications officer. "USANA continues to create products that are proven to have accurate and truthful labels. I am very proud to be part of a company that works so hard to produce only the best supplements on the market."

ConsumerLab.com is an independent assessor of the quality, purity and label accuracy of health and wellness products, putting each item through rigorous testing. To be awarded a seal of approval from ConsumerLab.com, USANA's Procosa supplement had to contain 100 percent of the claimed amount of glucosamine used to keep joints and cartilage strong and healthy, and to meet quality levels set for lead, arsenic, cadmium, and mercury.

"We take a lot of pride in the supplements we create, so receiving accreditation from an independent organization such as ConsumerLab.com validates what we do here," says USANA's executive director of product development and technology, Dr. John Cuomo. "Procosa is USANA's feature joint-health supplement containing glucosamine, vitamin C and Meriva® bioavailable curcumin complex to help sustain joint and cartilage fitness."

USANA True Health Foundation Sends Funds To Typhoon Victims

Press Release | 11/12/2013

SALT LAKE CITY, Nov. 12, 2013 -- Devastated by another catastrophic natural disaster, the USANA True Health Foundation donates $20,000 to International Relief Teams (IRT), a nonprofit international humanitarian organization, to aid victims of Super Typhoon Haiyan. This is the third donation sent to support relief efforts in the Philippines from the charitable foundation established by USANA Health Sciences Inc. since its inception in 2012.

"We are grief stricken by the destruction of this super storm. Our duty now is to do whatever it takes to help the resilient people of the Philippines," said Elaine Pace, president of the USANA True Health Foundation. "The devastating series of natural disasters in the past year is proof that these wonderful people will not only survive, but will thrive. We are relieved that USANA can be one of many helping hands in this disaster relief effort."

According to the Philippine government, Typhoon Haiyan has severely impacted over 4 million people. Hundreds of villages and urban neighborhoods have been destroyed or severely damaged. Entire populations are without basic essentials including, food, clean water, medical care, electricity, warm clothes and adequate shelter.

The money donated by the USANA True Health Foundation for emergency aid will serve 15,000 people for one week. This includes immediate survival essentials such as clean water, water purification tablets and food.

"We have an incredible USANA family of more than 175,000 strong in the Philippines," said Dan Macuga, USANA chief communications officer. "Their courage and goodness inspires our global team. That's why we feel it so important to help them and all those suffering in the aftermath of Super Typhoon Haiyan."

Yet out of the depths of destruction, rises the indestructible spirit of the people of the Philippines. USANA received word today that its Independent Distributor Council in the Philippines will be holding a 5,000-participant Fun Run on Jan. 19, 2014, to raise money for the USANA True Health Foundation in an effort to help others in need.

"I came into my office this morning after a weekend sick with worry about our colleagues in the Philippines, to see an email from the management team there," said Jim Bramble, who is a USANA True Health Foundation board member and USANA's chief legal officer and general council. "When I saw the subject line, I naturally assumed it was a request for help from the True Health Foundation. Instead, I couldn't believe my eyes that in the days immediately following one of the worst storms in recorded history, our team there was not asking for help, but permission to organize an event to help others, I am humbled to work among such great people."

USANA Receives 3rd NutriSearch Gold Medal

Press Release | 8/14/2013

Recognized for High Quality Supplements and Manufacturing Practices

SALT LAKE CITY, Aug. 14, 2013 -- USANA Health Sciences Inc., a global nutritional supplements company, has received the prestigious "Editor's Choice" designation in the latest NutriSearch Comparative Guide to Nutritional Supplements, 5(th) (Consumer) Edition, as well as the NutriSearch Gold Medal of Achievement(TM), the highest distinction possible. This is the third consecutive time USANA has earned the distinguished titles.

"USANA is an FDA-registered facility and works tirelessly to adhere to FDA guidelines to manufacture the purest nutritional supplements for its consumers," said Dan Macuga, USANA chief communications officer. "Because we produce more than 90 percent of our supplements in-house, as a way to maintain control of the ingredients and manufacturing process, receiving this esteemed distinction of honor, for a third time, is a testament that we take the safety and quality of our products seriously and that we really do practice what we preach."

The guide, which independently compares, reviews and rates more than 1,200 supplements in North America, evaluates not only the nutrients included in a supplement but also "the balance of those ingredients [and] manufacturing practices." The latest edition includes recent scientific findings on iodine and vitamin D -- two nutrients that have long been underestimated and misunderstood -- and has been completely rewritten from cover to cover.

"Several of the analytical criteria used by NutriSearch to rate nutritional products have been enhanced as a result of this emergent research. The guide is written as both an educational and consumer-based tool, taking the reader through a detailed explanation of why our nutrient-deficient modern diets demand that we supplement to protect our health and detailing the scientific evidence that shows supplements as effective nutritional tools in the quest for optimal health," said Lyle MacWilliam, MSc, FP, the guide's author.

To reach gold status, USANA not only demonstrated its highest quality of standards, but also subjected its products to a third-party review, which "certified analysis of label claim to prove that what's on the label is also in the bottle." USANA has participated in the Quality Certification Program of ConsumerLab.com -- the leading provider of independent test results for supplements. The nutritional company has received ConsumerLab.com certification for several of its products in 2013, including its Essentials(TM) and CoQuinone(R) 30 supplements.

Participating companies were sent confidential employee-satisfaction surveys and employer-questionnaires to collect information about benefits, compensation, policies, job satisfaction, environmental initiatives, and community outreach programs. USANA Health Sciences Announces Record 4th Quarter and Full-Year 2012 Financial Results

Press Release | 2/7/2013

SALT LAKE CITY--USANA Health Sciences, Inc. announced record financial results for its fiscal fourth quarter and full-year ended December 29, 2012.

Net sales for the fourth quarter of 2012 increased by 15.5% to $168.5 million, compared with $145.9 million in the prior-year period. The growth in net sales was driven by increases in both the Company’s Asia Pacific and North America/Europe regions. Favorable changes in currency exchange rates contributed approximately $3.0 million to the top line for the quarter.

Net earnings for the fourth quarter increased to $18.4 million, an improvement of 40.2%, compared with the prior-year period. This increase was due primarily to higher net sales and lower relative Associate incentive expense for the quarter, and was partially offset by lower gross margins. Earnings per share for the quarter increased by 46.0% to $1.27, compared with $0.87 in the fourth quarter of the prior year. This improvement in earnings per share can be attributed to higher net earnings and a lower number of diluted shares outstanding, which resulted from the Company’s share repurchases over the last 12 months. Total diluted common shares outstanding as of December 29, 2012 were 14,471,000 compared with 15,177,000 as of December 31, 2011.

The Company’s Chief Executive Officer, Dave Wentz, said, “USANA’s results in the fourth quarter were once again exceptional and cap off a year during which we produced record top and bottom-line results every quarter. Additionally, 2012 marks our tenth consecutive year of record sales. We believe that our strong operating results are due to the successful execution of our 2012 strategies. These strategies included our worldwide personalization initiative, our effort in North America to regain growth through strengthening our Associate sales force and our expansion in Greater China through the consistent training of our Associates in China on the Company’s product and the implementation of a compensation plan that is specific to that market.”

2012 Results

For the year ended December 29, 2012, net sales increased by 11.5% to $648.7 million, compared with $581.9 million in the prior year. Net sales growth was driven by increases in both Asia Pacific and North America/Europe regions. Changes in currency exchange rates did not have a meaningful impact on sales for the year as a whole.

Net earnings for the year ended December 29, 2012 increased by 30.9% to $66.4 million, or $4.45 per share, compared with $3.26 per share in the prior year. The increase in net earnings was due primarily to higher net sales, lower relative Associate incentive expense, and a lower effective tax rate of 32.5% for the full year.

Cash generated from operations totaled $92.8 million for the year ended December 29, 2012. The Company repurchased 1.6 million shares in 2012 for a total investment of $68.3 million. The Company ended the year debt free with a remaining share repurchase authorization of approximately $32 million.

“USANA’s performance in 2012 was excellent and we look forward to executing our 2013 growth strategy,” concluded Mr. Wentz. “Our primary objective in 2013 will be to grow our active customer counts in each of our regions. To achieve this objective, we have a number of initiatives planned at both the individual market and regional level. In certain of our mature markets, for example, we will execute a pricing initiative that is designed to make it easier for our Associate sales force to bring new customers into the business. This initiative will likely result in some short-term pressure on our top and bottom-line results in these markets, but should also create much greater potential for long-term customer growth. At the regional level, we will continue to execute our North America and Greater China growth strategies and will also expand our personalization initiative worldwide. With the successful execution of these strategies, I expect 2013 to be another record year for USANA.”

USANA Releases New Research On Vitamin D

Press Release | 1/24/2013

Study shows link between vitamin D and inflammation

SALT LAKE CITY, Jan. 22, 2013 -— A new study by USANA Health Sciences, Inc., in conjunction with The Orthopedic Specialty Hospital (TOSH), suggests that inflammation may cause a decrease in the body’s vitamin D levels. The study examined levels of vitamin D in twelve adult males between the ages of 18 and 45 recovering from anterior cruciate ligament (ACL) surgery.

“This research brings an awareness to managing inflammation in patients in order to protect them against vitamin D decreases,” says Dr. Tyler Barker, Clinical Researcher at TOSH. “Preserving or maintaining a healthy vitamin D level is essential to the function of a variety of physiological systems. We plan to further investigate the influence of vitamin D supplements on vitamin D levels during inflammation.”

Research for this study, which was published in October 2012 in Cytokine, The Official Journal of the International Cytokine Society, was funded in part by USANA Health Sciences, Inc. in Salt Lake City, a leading international manufacturer of top-quality nutritional products.

“We have a close partnership with TOSH in the scientific studies we conduct on our products. It was a privilege to be part of this valuable research,” says Dr. Brian Dixon, USANA’s executive director of scientific and clinical affairs. “The results of this study are significant in determining optimum vitamin D levels during periods of inflammation.”

SALT LAKE CITY, Nov. 19, 2012 -- USANA Health Sciences, Inc., an international nutritional company, announced today the global launch of its personalized supplement product, MyHealthPak, in conjunction with the highly-anticipated, patent-pending True Health Assessment.

USANA's unique MyHealthPak is comprised of individually packaged supplements customized to meet each user's personal health needs. The product, first developed in 2007, is made possible by a highly specialized machine used to produce the personalized packets. Now, similar machines in Singapore will allow for global production.

"USANA understands that personalized health is the way of the future," said Dr. Carsten Smidt, USANA's vice president of research and development. "We believe, as our Associates and customers in Asia and Europe do, that there is no 'one-size-fits-all' solution to wellness and that everyone has different nutritional needs."

We believe the True Health Assessment in conjunction with the MyHealthPak will help every customer achieve his or her personal wellness goals."

These moves are part of the company's major initiative to focus on personalized health.

USANA And ConsumerLab.com See Eye To Eye On Visionex

Press Release | 11/14/2012

USANA Health Sciences, Inc., a global nutritional company, announced today that its advanced eye health supplement, Visionex®, has been evaluated and approved by ConsumerLab.com, LLC, a leading provider of independent product test results.

In a recent study on eye health supplements, ConsumerLab.com determined that USANA's Visionex® contains at least 100 percent of the claimed amounts of lutein and claimed amounts of zeaxanthin listed on the label; satisfies California's Proposition 65 levels for lead contamination; adheres to recommended United States Pharmacopeia (USP) disintegration parameters; and meets Food and Drug Administration (FDA) labeling requirements.

"We know our products contain exactly what is listed on the label, but it's critical to have third-party confirmation and approval," says Dan Macuga, USANA chief communications officer. "We're proud of how well our products have performed in independent testing from reputable third-party organizations such as ConsumerLab.com."

This review tested similar eye health products from various nutritional supplement manufacturers to determine whether they in fact contained the right amounts of lutein and zeaxanthin on their labels. The review can be found on the company's website at www.consumerlab.com.

In light of new FDA warnings against potentially unsafe supplements available on the market, ConsumerLab.com testing helps consumers and healthcare professionals make better decisions and more informed recommendations when it comes to supplements.

"There is a lot of research and development that go into each of our products. Lutein and zeaxanthin are crucial for eye health—that's why they are essential ingredients in Visionex," states Dr. Carsten Smidt, USANA vice president of research and development. "We use the highest quality ingredients possible, and we have pharmaceutical quality protocols in place that guarantee potency and purity."

Since 1999, ConsumerLab.com has tested more than 3,200 products, 350 different brands and nearly every type of popular supplement in order to help consumers and healthcare professionals identify the best quality health and nutrition products. USANA Announces Record Third Quarter 2012 Results

Press Release | 10/24/2012

Third quarter net sales increased by 15.1% to $165.2 million

SALT LAKE CITY, Oct 23, 2012 -- USANA Health Sciences, Inc. announced record financial results for its fiscal third quarter ended September 29, 2012.

Net sales for the third quarter of 2012 increased by 15.1% to $165.2 million, compared with $143.5 million in the prior-year period. The growth in net sales was driven by increases in both the Company's Asia Pacific and North America/Europe regions. Changes in currency exchange rates reduced net sales by nearly $1.0 million.

Net earnings for the third quarter increased to $17.5 million, an increase of 41.2%, compared with the prior-year period. This increase was due primarily to higher net sales, lower relative Associate incentive expense, and a meaningfully lower effective tax rate of 28.2% for the quarter. Earnings per share for the quarter increased by 45.7% to $1.18, compared with $0.81 in the third quarter of the prior year. This improvement in earnings per share can be attributed to higher net earnings and a lower number of diluted shares outstanding, which resulted from the Company's share repurchases over the last 12 months. Total diluted common shares outstanding as of September 29, 2012 were 14,884, as compared with 15,205 as of October 1, 2011.

"We believe USANA's exceptional results this quarter are largely due to the strategies we set into place during 2011 and the first part of 2012, which have combined to generate strong momentum for USANA," said Mr. Dave Wentz, Chief Executive Officer. "A highlight of the quarter was our 20th anniversary celebration at our International Convention in Salt Lake City, where we had record attendance and record sales. A significant part of our convention was the unveiling of our personalization strategy, which focuses on our customers and their experience with us. As part of this strategy, we announced MyHealthPak's availability in our Asia Pacific region and the launch of new tools and applications designed to help our Associates customize USANA's products for their customers. Personalization and customization are key components of our long-term strategy to grow our business and deliver value to both our customers and shareholders."

The Company provided the following updated financial outlook for 2012:

-- Consolidated net sales approaching $645 million, versus the previous outlook of between $630 million and $640 million.

-- Earnings per share between $4.35 and $4.40, versus the previous outlook of between $4.10 and $4.20.

Chief Financial Officer Doug Hekking commented, "In light of our strong third-quarter performance, and the current momentum we are seeing in the business, we are updating our financial outlook for the remainder of the year. Actual results and our updated forecast for the year would make 2012 USANA's tenth consecutive year of record sales."

SALT LAKE CITY, Aug. 2, 2012 -- USANA Health Sciences, a global nutritional company, today was named one of the "Best Places to Work" by Outside magazine for its fourth consecutive year. USANA was ranked No. 23 out of 100 companies across the United States. Profiles of the top 10 small, medium, and large companies will be published in the September issue of Outside magazine, available on newsstands August 14, 2012. The full list of all 100 companies will be available August 2.

"We want all of our employees to feel fulfilled by their jobs and excited to come to work each day," said Kevin Guest, USANA president of the Americas and Europe. "By providing our staff with great benefits, tools, and work-life balance, we've been able to maintain high employee job satisfaction and retention rates, and it's great being rewarded for a job well done."

More than 600 USANA employees in Utah enjoy impressive workplace benefits, including free onsite workout facilities and a personal fitness trainer, an annual profit-sharing program, free monthly company health products, excellent health and life insurance packages, regular health fairs and voluntary fitness contests. USANA's efforts to create a positive, healthy work environment have earned the company many accolades. USANA was named one of the Best Companies to Work for by Utah Business magazine in 2011, and was also on PR News' list of Top Places to Work for in 2011.

"We're excited that our commitment to creating a great workplace has been recognized by Outside magazine," said Dan Macuga, USANA chief communications officer. "Being named one of the country's 'Best Places to Work' for the fourth consecutive year is no small feat. It shows that as a company committed to 'true health,' we practice what we preach."

Outside's "Best Places to Work" project celebrates the innovative companies setting a new standard for a healthy work-life balance. The list was compiled with the help of the Outdoor Industry Association and Best Companies Group. The yearlong selection process began with an outreach effort that identified a wide range of non-profit and for-profit organizations with at least 15 employees working in the United States. Participating companies were then sent confidential employee-satisfaction surveys and employer-questionnaires to collect information about benefits, compensation, policies, job satisfaction, environmental initiatives, and community outreach programs. The experts at the Best Companies Group then analyzed the results and selected the companies that best enable employees to pursue active lifestyles while also supporting their social and environmental contributions.

"We're thrilled to celebrate all 100 of these forward-thinking companies," says Michael Roberts, Senior Executive Editor of Outside. "They believe success depends on helping their employees live more active and fulfilling lives. The kinds of benefits they're providing—free fitness classes, flexible hours, subsidized healthy meals, lots of time out of the office—result in a more productive and engaged staff."

USANA Announces Record Second Quarter 2012 Results

Press Release | 7/25/2012

SALT LAKE CITY, Jul 24, 2012 -- USANA Health Sciences, Inc. today announced financial results for its fiscal second quarter ended June 30, 2012.

Net sales for the second quarter of 2012 increased by 8.0% to $160.9 million, compared with $148.9 million in the prior-year period. The growth in net sales was driven by increases in both the Company's Asia Pacific and North America & Europe regions. Changes in currency exchange rates reduced net sales by $2.7 million.

Net earnings for the second quarter increased to $16.7 million, an increase of 20.9%, compared with the prior-year period. This increase was due primarily to higher net sales, improved gross margins, lower relative Associate incentive expense, and a lower effective tax rate. Earnings per share for the quarter increased 26.1% to $1.11, compared with $0.88 in the second quarter of the prior year. This improvement in earnings per share resulted from higher net earnings and a lower number of diluted shares outstanding, resulting from the Company's share repurchases over the last 12 months.

"USANA delivered solid second quarter results, which capped a very impressive first half of 2012," said Mr. Dave Wentz, Chief Executive Officer. "During the quarter, we continued to see momentum in our business build due, in part, to our successful launch of a new component to our Associate compensation plan. This component, which is known as our Lifetime Matching Bonus, was very well received by our Associates worldwide. Along with the introduction of the Lifetime Matching Bonus, we ran a short-term sales promotion that also contributed to our positive results during the quarter."

The Company continued its successful track record of generating meaningful levels of cash from operations and ended the quarter with approximately $65.5 million in cash and cash equivalents. Cash generated from operations totaled $21.3 million for the quarter. During the quarter, the Company invested $26.6 million to repurchase 677,000 shares of the Company's stock.

The Company provided the following updated financial outlook for 2012:

-- Consolidated net sales between $630 million and $640 million, versus the previous outlook of between $610 million and $625 million.

-- Earnings per share between $4.10 and $4.20, versus the previous outlook of between $3.60 and $3.70.

USANA Nutritionals Approved For Athlete Use By NSF International

Press Release | 5/21/2012

SALT LAKE CITY, May 21, 2012 -- The U.S. Anti-Doping Agency (USADA) recently released a new supplements safety guide for athletes as part of their "Supplement 411" initiative. NSF International is currently the only independent third party testing and certification organization to meet the requirements of the government program, and USANA Health Sciences (NYSE: USNA) is among the supplement manufacturers whose products have been tested and approved for athlete use by NSF International.

"More than 600 professional athletes take our product, many of whom are competing in the London Games this summer," says Dr. John Cuomo, USANA's executive director of global research and development. "These athletes, who have been taking our product for years, rely on us to manufacture effective supplements that they can safely use."

To ensure that the company's products are indeed safe and effective, USANA manufactures its products following the U.S. Food and Drug Administration's Good Manufacturing Practices (GMPs) and tests its products multiple times from the raw ingredient stage up to the time it leaves the company's FDA-registered facility in Salt Lake City, Utah. USANA also voluntarily tests its supplements to make sure they meet trusted United States Pharmacopeia (USP) standards and specifications for potency, uniformity, and disintegration.

In line with the U.S. Anti-Doping Agency's recommendations, USANA has its products regularly tested by third-party organizations such as HFL, NSF International and ConsumerLab.com. Each company uses comprehensive testing methods to verify that what is on a product's label is, in fact, what is in the bottle.

"Supplements are important for athletes because you never know what food will be available to you when you're traveling, and you're traveling all the time," explains Matt Lowe, U.S. swimmer and London Games hopeful. "The important thing is to only take supplements you know are safe. That's why I take USANA - because they're tested by both HFL and NSF International."

"We put our money where our mouth is with our Athlete Guarantee Program," explains Dr. Brian Dixon, USANA's executive director of product & technology innovation. "Any athlete who has signed up for the guarantee and fails a banned substance test as a result of taking USANA's product can be compensated up to a million dollars. We are not aware of any other supplement company that offers this kind of guarantee, and we have never had an issue. In fact, in 20 years of doing business, we have never had to issue a product recall."

Third-Party Testing Company Approves USANA's Joint Health Product SALT LAKE CITY, May 14, 2012 -- USANA Health Sciences, Inc., a global nutritional supplements company, today announced that its USANA® Procosa supplement, which promotes optimal joint health, has been tested and approved by ConsumerLab.com, LLC, a company that independently tests health products to help consumers and healthcare professionals make safe purchasing decisions. ConsumerLab.com previously approved USANA's Probiotic, CoQuinone® 10, Visionex®, BiOmega(TM), Mega Antioxidant and Chelated Mineral supplements, among others.

When testing supplements, ConsumerLab.com uses rigorous independent testing to determine the product's strength, purity, and disintegration--specifically for Procosa, ConsumerLab tested its glucosamine content, how it met stringent lead levels criteria and its ability to disintegrate or break apart.

"In 20 years of doing business, we've never had to issue a product recall," said Jim Brown, USANA's vice president of global operations. "Because we manufacture over 90% of our products in-house in our FDA-registered facility, we can control the quality, safety and efficacy of our supplements. We also insist that our vendors follow our same strict quality control processes, so that by the time our product is shipped out, it has been tested numerous times."

"We welcome any third-party organization, such as ConsumerLab.com, to test and verify the claims we make on our products," says Dan Macuga, USANA's chief communications officer. "It gives us the opportunity to prove the claims we've been making for years on products that are now sold in 18 markets worldwide. All USANA employees are given free products monthly, so we are both the manufacturers and the end users of our own supplements. We are very committed to our products."

In addition to earning ConsumerLab.com's seals of approval, USANA's products, which are used by over 600 professional athletes, are also independently tested by NSF International and HFL. The company's Utah-based manufacturing facility follows Federal Drug Administration (FDA) guidelines for Good Manufacturing Practices (GMP) and voluntarily tests its supplements to make sure they meet United States Pharmacopeia (USP) standards and specifications for potency, uniformity, and disintegration.

The organization will offer basic necessitates, such as nutrition, clothing, shelter, medical assistance and health education to those who are suffering or in need.

"The primary motivation for the creation of this foundation is the never-ending quest for more efficient, economic, effective ways to improve the health and living conditions of people around the world," said Elaine Pace, president of USANA True Health Foundation. "Our goal is to meet the urgent needs of deserving populations and assist them with active compassion whenever the situation demands, to provide whatever is needed." Both athletes are members of the U.S. Ski and Snowboard Association (USSA), who USANA announced a partnership with last August.

Arguably the most dominant snowboardcross rider in the business, Jacobellis secured the title of winningest female in Winter X Games history after securing her fourth consecutive gold medal during the 2011 trial. She also holds three World Cup wins, a silver medal from the 2006 Olympic Winter Games, and most recently, the Telluride FIS Snowboard World Cup title to become the only American to take first in the tournament.

"My demanding training schedule really taxes my body, so I'm excited to be partnering with a nutritional company I can trust to safely and effectively replenish my strength and health," said Jacobellis. USANA Announces Third Quarter Financial Results

Press Release | 10/31/2011

SALT LAKE CITY--USANA Health Sciences, Inc. today reported financial results for its fiscal third quarter ended October 1, 2011.

Net sales in the third quarter of 2011 increased by 6.3% to $143.5 million, compared with $135.0 million in the prior year period. This net sales growth was driven by higher product sales in the Company's Asia Pacific region. In addition, favorable currency exchange rates added $5.1 million to the quarter's net sales growth. Net earnings in the third quarter decreased as compared with the prior year period by 3.6% to $12.4 million due to a 172 basis point increase in operating expenses, which was partially offset by improved gross profit margins. The increased operating expenses were predominantly due to an increase in Associate Incentives. Earnings per share for the quarter increased 2.5% to $0.81, compared with $0.79 in the third quarter of the prior year. This increase resulted from a decreased number of diluted shares outstanding from share repurchases over the last 12 months and was partially offset by lower net earnings.

Chief Executive Officer Dave Wentz said, “During the third quarter, our executive team continued to work closely with the Company's Associates to meet challenges and drive performance. At our 19th annual International Convention in August, we hosted thousands of Associates in Salt Lake City, Utah and made several exciting announcements, including the opening of France and Belgium in the first quarter of 2012. Our entry into these two markets will follow our expansion into Thailand in the fourth quarter of 2011, and is consistent with our plan to be more aggressive in our international expansion efforts. The announcement of these new markets has been well received by our Associates and will help drive momentum as we finish off 2011 and begin 2012.”

Net sales in the Asia Pacific region increased by 12.6% to $84.5 million, compared with $75.0 million for the third quarter of the prior year. This improvement was due to strong sales growth in the Philippines, South Korea and BabyCare, the Company's operating entity in China. BabyCare's sales increased $2.7 million during the quarter, in comparison with partial third quarter 2010 operating results. The Company acquired BabyCare on August 16, 2010. In the third quarter, the number of active Associates in this region decreased by 6.3%, which was primarily the result of an anticipated decline in the number of Hong Kong Associates. This decline, however, was partially offset by impressive growth in the number of active Associates in the Philippines, South Korea and BabyCare. In particular, Associate counts increased 87.5% in the Philippines and 50% in each of South Korea and BabyCare.

During the third quarter of 2011, net sales in the North America region decreased by 1.6% to $59.0 million, compared with the third quarter of the prior year. The number of Active Associates in North America during this period also declined by 12.1%, compared with the third quarter of the prior year.

Mr. Wentz added, “We continue to develop our strategy for North America, which focuses on personalization and innovation, coupled with market-specific incentive offerings. This strategy resulted from information gathered from recent market research and will be implemented initially in North America and is intended to drive long-term growth in this region. While we recognize that North America is a mature direct selling region and a difficult region to grow for direct selling companies, we believe that this region will grow with time, effort and the successful execution of our strategy.”

The Company continued its successful track record of generating cash from operations during the third quarter and fiscal year to date. Cash generated from operations totaled $22.1 million for the third quarter and $53.5 million for the first nine months of 2011. As of October 1, 2011, the Company had approximately $36.3 million in cash and cash equivalents. During the quarter, the Company repurchased a total of 268,000 shares under its authorized stock repurchase program for a total investment of $7.4 million and ended the quarter with $29.0 million remaining under the current authorization.

Chief Financial Officer Doug Hekking commented, “Based on our performance during the first three quarters of the year, we are raising our outlook for 2011. We now project consolidated net sales to be between $577 million and $581 million for the year, versus our previous outlook of $565 million to $575 million. In addition, we now expect to generate earnings per share between $3.20 and $3.25 versus our previous outlook of $3.05 to $3.10. We will remain focused on operational efficiency as we continue to integrate BabyCare into our business and work to successfully launch three new markets in the coming quarters. Overall, we are pleased with how the company has responded to the challenges presented in 2011 and expect to finish the year strong.”

USANA Funds Health Study at Utah State University

Press Release | 10/5/2011

SALT LAKE CITY, Oct. 4, 2011-- There are more than 100 days each year with poor air quality in Cache Valley, Utah. Poor air quality impacts health by limiting lung function and by weakening defenses against illness; children and the elderly are at higher risk.

A new partnership between the Applied Nutrition Research team at Utah State University and USANA Health Sciences, a Utah-based global nutritional supplement company, was announced this week. Clinical research to study the effects of nutritional supplementation to combat health consequences associated with Cache Valley's poor air quality will begin soon.

Cache Valley experiences poor air quality most often during winter months when high-pressure systems act as a lid to trap pollutants from car exhaust and wood burning chimney fires. The problem isn't specific to Cache Valley. Other areas of the state, including the Salt Lake Valley, experience poor air quality and lengthy inversions. Air pollution is a global issue.

Led by Dr. Michael Lefevre, a USTAR professor in USU's College of Agriculture focusing on overall human health and personalized medicine, the USTAR-funded Applied Nutrition Research team will conduct the clinical research study to understand the connection between dietary antioxidants and the impact of PM2.5, small particulate pollution, on the respiratory systems of at-risk groups. Recruitment for the study begins immediately.

"PM2.5 lodges in the lung and causes irritation and inflammation," says Dr. John Cuomo, USANA Executive Director of Research and Development. "This inflammation goes on to induct airway constriction and reduce lung function. Our supplement mix may significantly reduce the inflammatory cascade started by PM2.5 and maintain better lung function in supplemented subjects vs. placebo."

The state-of-the-art USTAR BioInnovations Center located on the Utah State University Innovation Campus provides the research infrastructure for the clinical study.

"The partnership with Utah State University's Applied Nutrition Research team and USANA allows USU to capitalize on sophisticated research facilities constructed as part of the USTAR initiative," said Dr. Robert T. Behunin, vice president for Commercialization and Regional Development at USU.

"The partnership exemplifies the USTAR mission—to move university research out of the lab for economic impact within the state. We're particularly excited to see innovative research at USU supporting one of Utah's most significant economic engines, the dietary supplement industry," said Tamara Goetz, state science advisor, Governor's office of Economic Development.

Utah's supplement industry represents $6.1 billion in annual revenue, Goetz said.

According to Behunin, at Utah State University, every dollar spent on research generates an additional $.76 in economic value for the state. USANA is the first Utah company to partner with the Applied Nutrition Research USTAR team.

"This is a unique opportunity to work with top-notch scientists in a state-of-the-art research facility," says Dan Macuga, USANA vice president of marketing, public relations and social media. "USANA is a company that values research and innovation, so we are excited to be a part of a scientific study that may have far-reaching health implications."

The USTAR BioInnovations Center, a 110,000-square-foot research facility constructed as an investment by the Utah state legislature to build Utah's knowledge economy through the construction of high-tech research facilities, was dedicated in October 2010. Research space includes a laboratory, a commercial kitchen as well as a medical clinic used to assess health of participants.

"The USTAR BioInnovations Center at Utah State University is an incredible resource that allows us the ability to conduct the sophisticated research required for clinical trials, such as this one," said Lefevre.

Recruitment is now underway—Cache Valley residents in general good health between the ages of 55-80 who are interested in participating in this study may visit the web site (http://anr.usu.edu) for more information. Questions may be directed to 435-797-4226 or by emailing cvair@usu.edu.

USANA acquires BabyCare Ltd

Npros.com | 8/27/2010

BabyCare Ltd, a China-based direct selling company that produces and sells nutritional products for families and infants has recently been acquired USANA Health Sciences, Inc. The Chinese company was originally founded in 1999, and was headquartered in Beijing, with operations in 21 cities and 16 provinces.

Recent reports have indicated that BabyCare's products have been sold through a consistently increasing sales force that utilizes the standard MLM commission-based compensation plan; which operates within the legal confines according to the laws of The Municipality of Beijing. The company has been working to obtain similar licenses in the surrounding provinces as well. These direct selling licenses allow the company to engage non-employee distributors aside from the company's traditional service centers.

USANA's short term objective within this acquisition to gain experience in the Chinese direct selling market. This means that BabyCare will continue to function on its own over the next 18 to 24 months as a standalone business in China. USANA believes that it can assist BabyCare in generating growth by increasing the number of distributors selling their products, with a long term objective of establishing the USANA brand throughout China. USANA is already working to license some of its products to BabyCare to enhance BabyCare's product line.

He walked on stage to rousing applause, as the morning session emcees put on a skit in which one pretended to be the CNN talk show host.

USANA named in Pyramid Lawsuit

Npros.com | 4/24/2009

A Clark County man has sued Usana Health Sciences Inc., alleging the big direct marketer of nutritional and cosmetic products operates as a pyramid scheme in which independent distributors must focus on signing up more distributors as opposed to selling products.

Joseph Chirco, in his lawsuit filed last week in Clark County District Court, seeks to have the suit certified as a class-action representing all Nevada Usana distributors. His Las Vegas attorney is John Nowakowski.

Chirco claims to have lost money by purchasing a Usana distributorship.

He alleges violations of Nevada's deceptive trade practices act and accuses Usana of consumer fraud, of failing to disclose all required facts about its marketing program, of unjustly enriching itself at the expense of distributors and of civil conspiracy.

In its annual report filed with the Securities and Exchange Commission, the company said it's careful to comply with marketing laws.

"Associates are encouraged to build and manage their own business group by recruiting, managing, and training others to sell our products. Associates are compensated on sales generated by their business group, and they can also receive compensation by purchasing products at wholesale prices and selling them at retail prices," Usana said.

Usana Posts Hefty Sales

Trading Markets | 2/25/2008

Usana reported that sales in the fourth quarter of 2007 increased by 10.8 percent and reached $108.7 million, compared with $98.1 million in the fourth quarter of the 2006 fiscal year. Its fourth quarter profit, however, fell slightly to $11.06 million, or 67 cents per share, from $11.1 million or 61 cents per share in the same quarter a year earlier.

The company said that during the fourth quarter in North America it experienced softer-than-expected sales and associate numbers.

"We attribute this decline primarily to the toll that various false allegations have taken on our associates during 2007," said Dave Wentz, the company's president. "We believe that these challenges are now largely behind us."

USANA Says SEC Rules out Enforcement Action

Salt Lake Tribune | 1/21/2008

Usana Health Sciences Inc., a Salt Lake City-based multi-level marketing company targeted last year in a Securities and Exchange Commission probe, said it won't face further action because the U.S. watchdog agency found nothing incriminating. Usana received notification from the SEC than its informal inquiry is complete and that no "enforcement action" is being recommended, the company said in a statement.

The SEC probe, begun in March, was sparked by comments made by trader Barry Minkow in the Wall Street Journal's "Heard on the Street" column. The newspaper cited Minkow, who served several years in prison for stock fraud in the 1990s, as saying the company's sales model required the constant recruitment of new distributors and that the pool would eventually dry up.

USANA Shares Jump on SEC Inquiry Closure

chron | 1/12/2008

Usana Health Sciences shares soared Friday after the nutritional and skin care products company said the Securities and Exchange Commission had closed its inquiry into the company's marketing model.

Shares jumped $13.91, or 39.1 percent, to $49.48 Friday.

In addition to closing its inquiry, Usana said the SEC didn't take any action against the company. The investigation began after a San Diego-based investigator, Barry Minkow, accused Usana of fraud and said its direct-marketing business model was a pyramid scheme.

Goldman Sachs analyst Simeon Gutman said the closure of the SEC inquiry "should further put to rest any remaining concerns about the integrity of Usana's business model."

Usana sells its products to a network of at-home distributors who recruit new employees into the network and then receive commissions on the recruits' purchases.

Usana Health Sciences Lawsuit Dismissed Utah State Court Dismisses Shareholder Lawsuit Against Usana Health Sciences

Usana Health Sciences Inc., which makes nutritional, personal care and weight management products, said Thursday a Utah state court dismissed a shareholder lawsuit related to claims the company was operating a pyramid scheme.

The lawsuit was filed against Usana and some of its directors and executives in September.

The company said it filed a motion to dismiss the case, which the plaintiff agreed to do with prejudice, meaning the complaint can't be refiled.

Usana has been criticized by San Diego investigator Barry Minkow for its network marketing business model _ which some have lableled a pyramid scheme _ and declining stock price.

The company was embroiled in controversy for most of 2007, with several lawsuits filed against the business. A lawsuit filed by independent distributors in June claimed distributors lost thousands of dollars after buying business kits and products they said could not be sold at elevated prices. Some distributors were recruited by Dr. Ladd R. McNamara, who left the Usana's medical advisory board amid a report his license was suspended in Ohio and Georgia.

USANA Defends Business Practices

We are writing this letter to express our concern with the article 'Most people won't get their money back', by Helen Malmgren, which appeared in the July 12, 2007 issue of National Business Review.

Unfortunately, this article contained several misrepresentations of the facts and outright false statements that deserve to be addressed. It is important for you to know that our company’s management team is fully committed to assisting the National Business Review in getting the full and accurate story regarding USANA. Our company has recently been subjected to a number of baseless attacks from a convicted stock fraud felon who has admitted to having a financial interest in a decrease in our stock price. We are hopeful that you will take action to correct the record.

NEW YORK — Shares of USANA Health Sciences Inc. rose on Wednesday, after the nutritional and personal care products company forecast a strong third-quarter outlook on the heels of a 9 percent higher second-quarter profit.

USANA said Wednesday that second-quarter earnings were fueled by higher sales in nearly every geographic region. The strong performance lead to a forecast for third-quarter profit above Wall Street expectations.

Auditor for Vitamin Maker USANA Quits

Houston Chronicle | 7/23/2007

SALT LAKE CITY — The accounting firm for embattled Utah vitamin maker USANA Health Sciences Inc. has resigned, and the company insisted Tuesday that no disagreement led to the departure.

That would be unusual, corporate watchdogs say. A Securities and Exchange Commission filing hints at a dustup over publicized findings by an independent fraud investigator, but USANA maintains it patched that up with accountants Grant Thornton LLP before the firm's departure.

USANA disclosed late Monday that Grant Thornton had resigned July 10 _ then followed up two minutes later with an unexpected early announcement of record quarterly sales.

USANA said it expects to post a second-quarter profit of 66 cents a share on $109.4 million in revenue, beating analysts' expectations on both counts. Analysts polled by Thomson Financial expected a profit of 63 cents per share on $104.2 million in revenue.

USANA Shares Drop Following Resignation

Houston Chronicle | 7/23/2007

NEW YORK — Shares of Usana Health Sciences Inc., which makes nutritional and personal care products, dropped Tuesday after the lawsuit-plagued company said its independent accountant has resigned.

Shares fell $5.12, or 10.2 percent, to $44.98 in afternoon trading.

The announcement of the resignation of Grant Thornton LLP as the company's auditor came as Usana said it expects to post a higher-than expected profit and better-than-expected sales in its second quarter.

The company plans to release its full financial results for the quarter after the market closes Tuesday.

But for investors, the positive news appeared to be overshadowed by the resignation, which brought more focus to the company's legal troubles.

BurnLounge Inc. has eliminated the "network marketing" portion of its business that was targeted by the FTC, the company said.

Members were supposed to be paid to sell digital music and movies to others, but the FTC alleged that BurnLounge's compensation program primarily provided payments for the recruiting of new participants, not on the retail sale of products.

USANA Health Sciences Files Defamation Lawsuit Against Fraud Discovery Institute And Barry Minkow - Quick Facts

Thursday, USANA Health Sciences Inc. said that it has filed a lawsuit against the Fraud Discovery Institute and Barry Minkow in U.S. District Court in Salt Lake City, Utah for defamation. The company said that it believes Minkow's statements are part of a coordinated public relations program financed by a paying client. According to a report in the March 15, 2007 edition of The Wall Street Journal, Minkow had bought 'put' options on USANA's shares in a bet the price will fall.

USANA said that this is a campaign to manipulate its stock price that is being orchestrated by an individual who served 7 years in prison for stock fraud and that Minkow's assertions about USANA's sales model are false and misleading. The company noted that it markets and sells premium nutritional supplements to thousands of customers, and its business model is regulated by the Federal Trade Commission.

Discovery Institute Reports on Usana Health Sciences

PRNewswire | 3/18/2007

SAN DIEGO, March 15 /PRNewswire/ -- The Fraud Discovery Institute, under the direction of Barry Minkow, has issued a report on public company, Usana Health Sciences, Inc., alerting authorities to possible fraud and also raising questions about the legitimacy of the entire multi-level marketing industry. The Wall Street Journal reported the story today.

The report also documents another secret of the Usana business -- specifically that only 3% of distributors receive 70% of company-paid commissions, which, in turn, skews the alleged "average income figure" for distributors posted on the company's web site.

Scheme report strikes USANA

Salt Lake Tribune | 3/16/2007

Shares of USANA Health Sciences tumbled Thursday after The Wall Street Journal reported on a 500-page critique of the company sent to the Security and Exchange Commission, the FBI and the criminal division of the IRS by the San Diego-based Fraud Discovery Institute. The report was penned by Barry Minkow, a stock-fraud felon turned private investigator, who has received praise from the FBI for previous probes. His latest report, however, has made Minkow the target of profiteering allegations. Minkow acknowledged up front that he has bought "put'' options on USANA's shares in a bet the price will fall. And fall it did Thursday - 15 percent, or $8.92 a share - once The Journal published his allegations. Minkow then issued a news release about The Journal's scoop, and boasted about it on his Web site. USANA President Dave Wentz said he was "flabbergasted" by Minkow's assessment that USANA is a pyramid scheme. And he was appalled that The Journal would rely on a source that stands to benefit financially by trashing the company. In response, USANA on Thursday hastily filed a defamation suit against Minkow and his company.

Heard on the Street knocks USANA

Blogging Stocks | 3/15/2007

USANA Health and Sciences (NASDAQ:USNA) fell about 15% today after a very negative "Heard on the Street" column was published in today's Wall Street Journal. For those unfamiliar with USANA, the company sells nutritional and personal care products. The company could be considered a 'multi-level marketing' company because of how it sells products (using "independent distributors" and "associates") and classifies its marketing system as a "network marketing system. In my opinion, "multi-level marketing" companies strongly resemble pyramid schemes due to their 1-2-4-8-etc. hierarchy, meaning one person sits at the top and receives the most commissions while, as you move down the pyramid, the commissions decrease.

USANA in the News

Most of us dream of winning the lottery, of getting a call out of the blue to say we're the sole beneficiary of a long-lost rich relative's estate. What wouldn't we do if only we had financial freedom?

Multi-level marketing (MLM) companies promote such dreams -take charge of your life, work the hours you choose and earn unlimited amounts. Products or services are sold direct to customers via a network of sales representatives, who may also be encouraged to recruit more people, who recruit more people and so on. With a solid team under you and group commissions passing through your "business centre", MLM companies promise a path to financial freedom.

While MLMs are legal in New Zealand, pyramid schemes are not. In a pyramid, earning money relies solely on recruiting new people into the scheme; those on higher levels earn more than those below, but ultimately it becomes impossible to recruit enough people for newcomers to make money. MLMs, on the other hand, offer a commercially viable product and the opportunity to earn a living through repeat sales.

Diet supplements company Usana uses the MLM model. Founded in 1992, it listed on the Nasdaq stock market in 1993. Reported net earnings for the first quarter of 2006 were $US9.6 million - a nice earner for majority shareholder and company founder Dr Myron Wentz.

Mogul gives Napoleon a boost

A native son of Napoleon, who has achieved worldwide success in health and nutrition, wants to give a boost to folks back at home.

Myron Wentz, a microbiologist and immunologist who founded USANA, a vitamin and nutrition supplement company based in Salt Lake City, and a whole body disease treatment center in Mexico, has pledged some serious money to a Napoleon school improvement project.

Wentz has offered to match $200,000 in donations to help pay for a new wooden gym floor, bleachers and locker, and weight and wrestling rooms.

Randy Schumacher, Napoleon School Board president, said the work will start this summer on the gym floor, bleacher and possibly locker room phases of the project.
